These terms cover two groups: organizers, who sell tickets, products and experiences through Membrz, and buyers, who purchase them. Each section says which group it applies to. ## The service _Applies to: Organizers and buyers._ Membrz provides tools to sell tickets, products and live commerce experiences, with checkout, payments, reporting and payouts. ## Accounts _Applies to: Organizers._ You need an account to sell through Membrz. You must be at least 18, give accurate details and keep your login secure. You are responsible for what happens under your account. ## Fees _Applies to: Organizers._ Membrz charges 6% per paid transaction, with a €0.80 minimum per ticket or product sold. Custom pricing applies to partner agreements. ## Your responsibilities _Applies to: Organizers._ You are responsible for the content you sell, for honouring what you offer to buyers, and for complying with the law where you operate. ## What you cannot sell _Applies to: Organizers._ You may not use Membrz to sell anything illegal or counterfeit, anything you do not hold the rights to sell, or to describe an event or product in a way that misleads buyers. We can suspend a page or an account that breaches this. ## Payouts _Applies to: Organizers._ Payouts are sent to your connected bank account on the agreed schedule, weekly by default. We verify your identity before the first payout, as our payment providers require. We may hold a payout while we look into suspected fraud, an unusual level of disputes, or a transfer that failed to reach your bank. ## Refunds and cancellations _Applies to: Organizers and buyers._ Tickets for events with a fixed date are non-refundable by law. If an event is cancelled or significantly changed, such as a new date or venue, the buyer is entitled to a refund of the ticket price. Products can be returned within 14 days of delivery if unused and in perfect condition, and an approved refund is processed within 14 days. A subscription can be cancelled for a refund within 14 days of purchase, provided its benefits have not been used. ## Who processes a refund _Applies to: Organizers and buyers._ The organizer refunds the ticket or product value. Membrz acts as the platform and is responsible only for the Membrz service fee, which is non-refundable. To request a refund, contact the organizer or shop shown on your purchase confirmation. If you need help, email hello@membrz.club. ## Chargebacks _Applies to: Organizers._ If a buyer disputes a payment with their bank, the disputed amount and any fee charged by the payment provider are deducted from your balance or from your next payouts. If your balance does not cover it, the amount remains payable to Membrz. ## Taxes _Applies to: Organizers._ You are responsible for charging, invoicing and remitting any tax due on what you sell, including VAT, unless a Merchant of Record agreement says otherwise. Membrz invoices you separately for its own fees. ## Your content _Applies to: Organizers._ You keep ownership of the artwork, text, photos and other material you upload. You grant Membrz the right to host and display it in order to run and promote your sales page. You confirm you hold the rights to everything you upload, and we can remove material that infringes someone else. ## Buyer data _Applies to: Organizers._ Buyer data collected through your sales belongs to your operation and you decide how it is used. Membrz processes it on your behalf to run the service. You are responsible for using it in line with data protection law, including consent for marketing. ## Availability _Applies to: Organizers and buyers._ We work to keep Membrz running and supported, but we do not guarantee uninterrupted availability unless a separate agreement sets a service level. ## Liability _Applies to: Organizers and buyers._ Membrz provides the platform and is not the seller of record unless Merchant of Record is explicitly agreed. The organizer remains responsible for the goods and services sold. Our total liability for any claim is limited to the fees paid to Membrz in the 12 months before it arose. Nothing here limits liability that cannot be limited by law, including a consumer’s statutory rights. ## Suspension and closing an account _Applies to: Organizers._ You can close your account at any time. We can suspend or close an account that breaches these terms or that creates legal or fraud risk. When an account closes we settle any payout still due, once outstanding refunds, chargebacks and fees are accounted for. ## Changes _Applies to: Organizers and buyers._ We may update these terms. For material changes we give 30 days notice before they take effect, and continuing to use Membrz after that means you accept them.
